1. Agreement to Terms

By accessing, registering for, or using VedaSchoolPro ("Platform", "Service", "we", "us"), you ("School", "Client", "you") agree to these Terms of Service ("Terms"). If you are accepting these terms on behalf of a school, organization, or trust, you represent that you have the authority to bind that entity to these Terms.

These Terms apply to all users of the platform, including but not limited to Super Administrators, Chairman/Trustees, School Administrators, Teachers, Students, Parents, Transport Staff, and HR personnel.

2. Description of Service

VedaSchoolPro is a comprehensive cloud-based School Management Platform (SaaS) that provides the following services and features:

3. Account Registration & Access

3.1 School Registration

• Schools are onboarded by VedaSchoolPro after a demo and agreement
• Each school receives a unique subdomain (e.g., yourschool.vedaschoolpro.com)
• The school administrator receives login credentials to manage the platform
• Schools may optionally configure a custom domain (e.g., www.yourschool.com) for their public website

Student	Own academic data	Views results, attendance, timetable, assignments, and school notices
Parent	Child's data only	Views child's results, attendance, fees, communicates with teachers, pays fees online

3.3 Account Security

• You are responsible for maintaining the confidentiality of your login credentials
• You must immediately notify us of any unauthorized access to your account
• Sharing login credentials with unauthorized persons is strictly prohibited
• We recommend using strong passwords and changing them periodically

4. Subscription Plans & Pricing

4.1 Plans

VedaSchoolPro offers tiered subscription plans based on the number of students, features, and branches. Plan details, features included, and pricing are as displayed on our website or as agreed upon in your service agreement.

4.2 Payment Terms

• Subscription fees are billed annually or as per the agreed billing cycle
• All fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (GST)
• Payment is due within 15 days of invoice generation unless otherwise agreed
• Late payments may result in temporary suspension of services after a 7-day grace period with prior notice

4.3 Fee Collection via Platform

Schools using the Razorpay payment gateway integration to collect student fees acknowledge that:

• Razorpay's terms of service apply to all payment transactions
• Transaction fees charged by Razorpay are as per the school's agreement with Razorpay
• VedaSchoolPro facilitates the integration but is not a payment processor
• Refunds for fee payments are the school's responsibility to process

5. Acceptable Use

You agree to use VedaSchoolPro only for its intended purpose of school management. You shall NOT:

• Use the platform for any unlawful, fraudulent, or harmful purpose
• Attempt to gain unauthorized access to other schools' data or system areas
• Upload malicious content, viruses, or harmful code
• Use the platform to send spam, unsolicited messages, or bulk promotional content unrelated to school operations
• Reverse engineer, decompile, or attempt to extract the source code of the platform
• Resell, sublicense, or redistribute access to the platform without written consent
• Use the school's public website feature to host content unrelated to the school
• Violate any applicable Indian laws or regulations through your use of the platform
• Overload, damage, or impair the platform through excessive automated requests

6. Data Ownership & Intellectual Property

• The VedaSchoolPro platform, including its design, code, features, templates, logos, and documentation, is our intellectual property
• The website templates (Classic, Modern, Minimal) provided for school public websites are licensed for use within the platform only
• You may not copy, reproduce, or distribute any part of the platform's code or design
• The VedaSchoolPro brand name, logo (the tree icon), and tagline "Powering the Future of Schools" are our trademarks

6.3 User-Generated Content

Content uploaded by schools (photos, documents, circulars, career postings) for their public website remains the school's responsibility. Schools must ensure they have the right to publish such content and that it does not violate any copyright, privacy, or other laws.

7. School Public Website

Schools using VedaSchoolPro's built-in website feature agree that:

• The school is responsible for all content published on their public website (about, gallery, events, circulars, careers, admission info)
• A "Powered by VedaSchoolPro" badge may be displayed in the footer of the school's public website
• Custom domains must be properly configured with valid DNS settings
• Schools must not publish illegal, defamatory, obscene, or harmful content on their websites
• We reserve the right to disable a school's public website if it violates these terms
• Inquiry form submissions are stored in the school's admin panel and the school is responsible for responding to them

8. Service Level & Availability

8.1 Uptime

We strive to maintain 99.5% uptime for the platform. Scheduled maintenance windows will be communicated in advance through the admin dashboard or email notifications.

8.2 Support

• Technical support is available via email, phone, and WhatsApp during business hours (Monday-Saturday, 9 AM - 7 PM IST)
• Critical issues (platform down, data access issues) are addressed on priority
• Feature requests and non-critical issues are addressed in subsequent updates

8.3 Maintenance Mode

We may occasionally put the platform in maintenance mode for upgrades and improvements. During maintenance:

• A maintenance page with estimated time of restoration will be displayed
• Schools will be notified in advance for planned maintenance
• We aim to schedule maintenance during non-school hours when possible

9. Limitation of Liability

• VedaSchoolPro is provided on an "as-is" and "as-available" basis
• We do not guarantee that the platform will be uninterrupted, error-free, or completely secure at all times
• Our total liability shall not exceed the subscription fees paid by the school in the preceding 12 months
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• We are not responsible for losses arising from third-party services (Razorpay, SMS providers, internet service providers)
• Schools are responsible for verifying the accuracy of data entered into the platform (student records, fee amounts, results)

10. Termination

10.1 By the School

• You may terminate your subscription at any time by providing 30 days written notice
• Upon termination, you may request an export of all your school data in standard formats (Excel/CSV)
• Prepaid subscription fees are non-refundable for the remaining subscription period, unless otherwise specified in your agreement

10.2 By VedaSchoolPro

• We may suspend or terminate your access if you violate these Terms
• We may terminate for non-payment after repeated reminders and a 30-day grace period
• In case of termination by us for reasons other than violations, we will provide a pro-rated refund of unused subscription fees
• We will provide 30 days to export your data before permanent deletion

10.3 Post-Termination

• Your school data is retained for 90 days post-termination for recovery
• After 90 days, all data is permanently and irreversibly deleted
• Your school's subdomain and public website are deactivated immediately upon termination
• Custom domain DNS settings should be updated by the school

11. Changes & Updates

11.1 Platform Updates

We continuously improve VedaSchoolPro with new features, enhancements, and security patches. Updates are deployed automatically and may include:

• New modules and features
• UI/UX improvements
• Performance optimizations
• Security patches
• Bug fixes

11.2 Terms Updates

We may update these Terms from time to time. Significant changes will be communicated through:

• Dashboard notification for school administrators
• Email notification to the registered school email
• Updated "Last Updated" date on this page

Continued use of the platform after changes constitutes acceptance of the updated Terms.

12. Governing Law & Disputes

• These Terms are governed by the laws of India
• Any disputes shall be subject to the exclusive jurisdiction of the courts in Jammu, Jammu & Kashmir, India
• Before resorting to legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days

13. Indemnification

You agree to indemnify and hold harmless VedaSchoolPro, its founders, employees, and partners from any claims, damages, losses, or expenses arising from:

• Your use or misuse of the platform
• Content published on your school's public website
• Violation of these Terms or any applicable laws
• Claims by third parties related to data you have entered or actions you have taken through the platform

14. Miscellaneous

• Entire Agreement: These Terms, along with the Privacy Policy and any service agreement, constitute the entire agreement between you and VedaSchoolPro
• Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force
• No Waiver: Failure to enforce any right or provision does not constitute a waiver of that right
• Assignment: You may not assign your rights under these Terms without our written consent
• Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control (natural disasters, internet outages, government actions)
